Terms and Conditions

Scope: Safety Matters, LLC (Consultant) will furnish the following service / training: Preparation, writing, and delivery of “Client’s” Health & Safety Plan and subsequent (referenced) forms The plan will include the following: o Initial discussion for plan creation o In person, follow-up consultation for management training and program review o Digital copy in open format and hard copy (if desired) o Subsequent forms (templates) included as requested: o Worker orientation form o Mishap investigation report o Equipment inspection form o Safety meeting form o Safety inspection form o Disciplinary report form o Fall protection plan template o Confined Space entry form and “Permit Required” entry permit o Lock-Out / Tag-Out permit o Hot-Work permit o Excavation and trenching inspection form Fee: starting at $1,895 Standard of Care: Consultant will exercise the degree of care and skill ordinarily exercised by a duly Certified Safety Specialist performing the same or similar services at the same time in the same geographic area. Client’s Duty to Remain in Compliance: Consultant shall not have any duty or authority to direct, supervise or oversee any Client employees, contractors or subcontractors. Consultant may advise or make recommendations to Client regarding Client’s or subcontractor’s conduct or performance. Notwithstanding any duty or obligation of Consultant’s under this contract, Client shall maintain sole responsibility to fulfill their obligations and to recognize, follow and enforce all laws, comply with applicable statutory, regulatory, compliance, training, and/or other requirements including, but not limited to those set forth by OSHA and Washington State Department of Labor and Industries. Client shall not share, sell or redistribute materials from Safety Matters, LLC without written consent from Safety Matters, LLC. Indemnification: Client agrees to indemnify, hold harmless and defend Consultant against any claims arising out of such failures by Client as set forth above or services provided by Consultant. Such indemnification shall also apply as to any claims by third parties based on or arising in whole or in part out of Consultants performance under this agreement. If it is determined that the damage was caused by Consultants sole or contributory gross negligence, Consultant shall reimburse Client for the judgment and reasonable defense costs in proportion to Consultant’s negligence. Consultant shall have the right, but not the duty to participate in any such claim or suit with attorneys of its own selection. The obligations in this Article survive termination of this Agreement. General Terms: Notice of Cancellation: Cancellation of services must be made prior to the development of documents or the full amount of the service of preparing the documents will be charged. No refunds shall be granted after documents are delivered. Waiver: Any waiver of breach of any term or provision of this Agreement at any time will only be effective for the specific instance and specific purpose for which the waiver was given. Notwithstanding, if either party fails to exercise or delays exercising any of its rights or remedies under this Agreement that party retains the right to enforce that term or provision at a later time. Governing Law, Jurisdiction, and Venue: This Agreement is governed by, and is to be construed and enforced in accordance with, the laws of the State of Washington. Client consents to jurisdiction of the courts of the State of Washington, and agrees that the venue for any legal action shall be in King County Superior Court. Severability: Any provision of this Agreement held to be unenforceable in any jurisdiction shall be, as to that jurisdiction only, ineffective only to the extent of such unenforceability, without affecting any other provision hereof.
